Effective date:
These Terms of Use (“Terms”) govern your access to and use of the Shop Latte website, platform, features, and related services operated by Shop Latte LLC (“Shop Latte,” “we,” “us,” or “our”).
By using Shop Latte, you also acknowledge our Privacy Policy. Please return to this page when the complete legal terms are published.
1. About Shop Latte
Shop Latte is a discovery and connection platform designed to help customers find independent businesses and help businesses share what they offer.
Businesses may create profiles, publish updates, share Menu items, promote events, and receive inquiries from customers. Customers may discover businesses, save favorites, view business content, and submit inquiries.
Shop Latte does not sell the products or services listed by businesses. Unless we expressly state otherwise, Shop Latte is not a party to any purchase, booking, contract, payment, delivery, service arrangement, or other transaction between a customer and a business.
2. Eligibility
Account Eligibility
You must be at least 13 years old to create or use a Shop Latte account.
If you are under 18, you may use Shop Latte only with the permission and supervision of a parent or legal guardian. By allowing a minor to use Shop Latte, the parent or guardian agrees to these Terms on the minor’s behalf and accepts responsibility for the minor’s activity.
A business profile created or managed by a person under 18 must be authorized and supervised by a parent, legal guardian, or other adult who has authority to act for the business. A minor may not purchase a paid subscription unless legally permitted to do so or an authorized adult completes the purchase.
You may use Shop Latte only if you are legally able to enter into these Terms and are not prohibited from using the platform under applicable law.
Business Eligibility
Shop Latte is intended for independently owned small businesses.
Franchise locations and multi-level marketing (MLM) businesses are not eligible to create or maintain a business profile on Shop Latte. Businesses primarily structured around recruiting distributors, representatives, or participants are also not eligible.
Businesses that offer, advertise, facilitate, or promote commercial sexual services are not eligible to use Shop Latte. Shop Latte also prohibits businesses or activity involving sexual exploitation, human trafficking, child sexual exploitation, or any sexual content or services involving minors.
An independently owned business may operate more than one location and still be eligible, provided it is not operating under a franchise brand or franchise agreement.
Shop Latte reserves the right to determine whether a business meets these eligibility requirements and may reject, restrict, suspend, or remove business profiles that do not qualify.
3. Accounts
An account is required to use Shop Latte’s account-based features. Some public pages may be viewable without signing in.
You agree to provide accurate, current, and complete information when creating and maintaining your account. You are responsible for keeping your login credentials secure and for activity conducted through your account.
You may not:
- create an account using false or misleading information;
- impersonate another person, business, or organization;
- create an account for a business you are not authorized to represent;
- share access in a way that compromises account security; or
- use another person’s account without permission.
You must promptly notify us at hello@shoplatte.com if you believe your account has been accessed without authorization.
We may require additional information to confirm account ownership, business authorization, or compliance with these Terms.
4. Business Profiles
Businesses may create and manage public profiles containing information such as their business name, description, owner story, location, categories, contact links, photos, events, Menu items, Block Posts, and inquiry forms.
By creating or managing a business profile, you represent that:
- you are the owner of the business or are authorized to act on its behalf;
- the information you provide is accurate and not misleading;
- your business and its offerings comply with applicable laws;
- you have all licenses, permits, registrations, permissions, and insurance required for your activities; and
- your content does not violate another person’s rights.
Shop Latte may not independently verify every business, owner, credential, license, location, product, service, claim, identity, or piece of information published on the platform. The presence of a business on Shop Latte does not constitute an endorsement, certification, guarantee, or verification by Shop Latte.
Identity verification
- Verification is optional generally, unless Shop Latte requires it for a specific feature such as Marketplace participation.
- Verification is performed using an approved third-party identity verification provider.
- The person verifying must use their own valid government-issued identification.
- Shop Latte accepts identification that allows the person's identity and issuing state/state information to be verified.
- Shop Latte may separately compare the verified state with the state associated with the business.
- Successful verification may result in a Verified badge being displayed on the business profile, cards, marketplace listings, or other surfaces.
- Verification applies to the person behind the business, not every fact about the business.
- Verification does not mean Shop Latte has verified licensing, credentials, inventory, product quality, financial condition, business legitimacy, fulfillment ability, safety, or every statement made by the business.
- Shop Latte may revoke or remove verification if information becomes inaccurate, fraudulent, misleading, or no longer meets eligibility requirements.
- Users may not transfer, share, fabricate, or manipulate verification.
- Passing verification does not guarantee continued access to Shop Latte or Marketplace.
5. Business Responsibilities
Businesses are solely responsible for their profiles, content, offerings, communications, and interactions with customers.
Businesses must keep material information reasonably current, including:
- availability;
- pricing and price ranges;
- service areas;
- event details;
- fulfillment or booking terms;
- product or service descriptions;
- contact information; and
- any restrictions, qualifications, or limitations that may affect a customer.
Businesses are responsible for responding to inquiries and for communicating their own policies concerning payment, booking, cancellation, returns, exchanges, shipping, delivery, safety, fulfillment, and customer service.
A business may not use Shop Latte to make deceptive, unsubstantiated, unlawful, or materially misleading claims.
6. AI-Generated and AI-Assisted Content
Shop Latte allows businesses to use artificial intelligence (“AI”) tools in content published on the platform. Businesses are responsible for ensuring that all content accurately represents their business, products, services, events, and other offerings.
AI-generated or AI-assisted content may not be used to materially misrepresent or mislead customers about what a business offers or what a customer can reasonably expect to receive.
Shop Latte may use automated tools, content provenance information, and other signals to identify and label content that appears to be AI-generated or AI-assisted. These systems are not perfect, and Shop Latte does not guarantee that all AI content will be identified or that every classification will be accurate.
Businesses may not intentionally remove, conceal, falsify, or circumvent AI-related labels or transparency features provided by Shop Latte.
The use of AI alone is not a violation of these Terms. Deceptive, fraudulent, or materially misleading content is prohibited regardless of how it was created.
If Shop Latte determines that a business has intentionally or materially misrepresented its products, services, business, or other offerings, Shop Latte may remove content, suspend the business, or permanently terminate access to the platform. Businesses marked for investigation, or businesses that believe content has been incorrectly classified or labeled, may contact support@shoplatte.com to request review.
7. Customer Responsibilities
Customers are responsible for reviewing business information and deciding whether to contact, hire, book, visit, or purchase from a business.
Before entering into a transaction, customers should independently confirm information that matters to them, including pricing, availability, qualifications, policies, licensing, location, safety requirements, and fulfillment terms.
Customers must communicate honestly and respectfully with businesses and may not use inquiry forms or other Shop Latte features to harass, threaten, defraud, spam, or solicit unrelated services.
8. Local and National Plans
Shop Latte offers paid subscription plans for businesses, currently called Local and National.
The Local plan is intended to support local visibility, regular posting, and inquiry-based customer connections.
The National plan includes the features of the Local plan and additional national visibility, including eligible national reach through Block Post.
Current plan prices, features, limits, and eligibility rules are displayed on the Shop Latte Plans page or during checkout. Plan features may include limits on published Menu items, visibility areas, posting tools, inquiry forms, analytics, events, or other platform features.
We may add, modify, or discontinue plan features as Shop Latte evolves. When a change materially reduces a paid plan’s core functionality, we will provide notice when reasonably practicable.
Purchasing a subscription does not guarantee a particular number of views, impressions, inquiries, customers, sales, bookings, search-engine rankings, or other business results.
9. Payments and Paid Services
Shop Latte may offer recurring subscriptions, one-time paid services, and marketplace-related transactions.
The price and applicable payment terms for a paid service or transaction will be shown before purchase.
Recurring subscriptions, including Shop Latte’s Local and National plans, are governed by the Subscription & Billing Policy.
Certain Shop Latte features may involve a separate one-time charge, including services such as Identity Verification. Any additional terms specific to a one-time paid service may be presented before purchase or within the applicable feature.
Identity Verification may require a one-time verification fee. The applicable price will be displayed before purchase. Payment of the fee does not guarantee successful verification. Any applicable refund or re-verification terms will be disclosed before purchase or in the applicable policy.
Marketplace transactions may involve payments between customers and participating businesses and may be subject to additional marketplace, payment, refund, seller, or buyer terms as those features become available.
Payments may be processed through third-party payment providers such as Stripe. Additional terms and privacy practices of those providers may apply.
10. Subscription Billing
Paid Shop Latte subscriptions are subject to recurring billing and automatic renewal until canceled. Subscription prices, billing timing, cancellation, refunds, credits, failed-payment handling, and related billing terms are governed by the Subscription & Billing Policy, which is incorporated into these Terms.
Payments may be processed by third-party payment providers such as Stripe. Shop Latte does not directly store full payment-card numbers.
11. Cancellation and Refunds
Cancellation timing, end-of-period access, refund eligibility, credits, and related subscription billing rules are governed by the Subscription & Billing Policy.
Account suspension or termination under these Terms may affect subscription access as described in these Terms and the Subscription & Billing Policy.
Nothing in these Terms limits rights that cannot legally be waived.
12. Block Posts and Weekly Posting
Eligible businesses may publish Block Posts to share timely updates, events, sales, new offerings, reminders, hiring information, or other supported business news.
Shop Latte is designed around regular business participation, including a general expectation that businesses may post approximately once per week. This posting model is a product behavior and visibility structure, not a promise that every business will post or receive exposure each week.
Block Posts may be displayed locally, nationally, or both depending on the business’s plan, location, post settings, content eligibility, and platform rules.
Shop Latte may apply publishing limits, scheduling limits, expiration periods, edit windows, content categories, or visibility rules to Block Posts.
We may remove, limit, reclassify, or decline to distribute a Block Post that is outdated, misleading, duplicative, irrelevant, unlawful, unsafe, or inconsistent with these Terms.
13. Menu Items and Gift Discovery
Businesses may publish eligible products, services, bundles, experiences, or other offerings through Shop Latte’s Menu and gift-discovery features.
The Menu is a discovery feature. It is not a complete inventory system, storefront, product catalog, checkout service, or guarantee of availability.
Businesses are responsible for ensuring that Menu descriptions, prices, recipient suggestions, availability labels, images, and other details are accurate.
Customers must contact or visit the business to confirm availability, pricing, purchasing terms, booking details, shipping, pickup, delivery, or fulfillment.
Shop Latte does not process or manage purchases made between customers and businesses unless a separate Shop Latte service expressly states otherwise.
14. Events
Businesses may publish information about in-person, online, or hybrid events.
The business or event organizer is solely responsible for the event, including its accuracy, scheduling, location, accessibility, safety, admission requirements, cancellations, permits, refunds, and attendee communications.
Shop Latte does not organize, supervise, insure, endorse, or guarantee events merely because they appear on the platform.
Customers should confirm event details directly with the organizer before attending or making a purchase.
15. Inquiry Forms and Communications
Shop Latte allows customers to submit inquiries to businesses through inquiry forms.
When a customer submits an inquiry, the customer authorizes Shop Latte to share the information entered in the form, along with the customer’s relevant account information, with the selected business so that the business can respond.
Shop Latte facilitates the initial connection but does not control or manage the conversation after an inquiry is sent. Shop Latte may not see, track, store, or supervise communications that occur outside the platform.
Shop Latte does not guarantee that:
- a business will respond;
- a customer will continue the conversation;
- an inquiry will result in a booking, sale, or other transaction;
- either party will act on information exchanged; or
- communications between users will be accurate, appropriate, or safe.
Customers and businesses are responsible for exercising judgment before sharing additional personal, financial, confidential, or sensitive information.
Inquiry forms may be subject to limits designed to reduce spam, misuse, or excessive submissions.
16. Transactions Between Customers and Businesses
Any purchase, booking, project, appointment, delivery, service, exchange, or other transaction arranged through or following the use of Shop Latte is solely between the customer and the business.
The parties are responsible for agreeing on and fulfilling all transaction terms, including:
- scope;
- pricing;
- payment;
- taxes;
- timelines;
- availability;
- deposits;
- cancellations;
- refunds;
- returns;
- shipping;
- delivery;
- warranties;
- safety; and
- dispute resolution.
Shop Latte is not responsible for the quality, legality, safety, suitability, delivery, performance, nonperformance, or outcome of a transaction between users.
Shop Latte is not a broker, reseller, employer, agent, representative, contractor, partner, joint venturer, payment intermediary, or insurer for any listed business or customer.
17. User Content
“User Content” means information or material submitted, uploaded, published, or otherwise provided through Shop Latte, including business descriptions, owner stories, photos, logos, Block Posts, Menu items, events, form questions, messages, links, and other content.
You retain ownership of the User Content you own.
By submitting User Content, you grant Shop Latte a nonexclusive, worldwide, royalty-free, sublicensable, and transferable license to host, store, reproduce, format, modify for technical or display purposes, publish, display, distribute, and use that content as reasonably necessary to:
- operate and provide Shop Latte;
- display and promote your business or content;
- create previews, search results, social-sharing cards, or promotional materials;
- improve platform functionality;
- protect the platform and its users; and
- comply with legal obligations.
This license does not transfer ownership of your User Content to Shop Latte.
You represent that you own your User Content or have all permissions necessary to submit it and grant this license. This includes permission to use any photographs, logos, trademarks, names, likenesses, written material, music, artwork, or other protected material included in the content.
You may remove certain User Content through your account. Copies may remain temporarily in backups, cached pages, archived records, legal records, or materials previously created or shared as permitted by law.
18. Shop Latte Content and Intellectual Property
Shop Latte and its licensors own the platform and its associated software, design, layout, branding, graphics, text, features, databases, and other materials, excluding User Content.
The Shop Latte name, logo, visual identity, and related marks may not be used without our prior written permission.
Subject to these Terms, Shop Latte grants you a limited, revocable, nonexclusive, nontransferable license to access and use the platform for its intended purposes.
You may not copy, reproduce, sell, license, modify, reverse engineer, distribute, scrape, or commercially exploit Shop Latte or its content except as permitted by law or with our written permission.
19. Copyright and Intellectual-Property Complaints
Shop Latte respects intellectual-property rights.
If you believe content on Shop Latte infringes your copyright, trademark, or other intellectual-property rights, send a notice to:
email: hello@shoplatte.comYour notice should identify:
- the protected work or right you believe has been infringed;
- the specific content at issue and where it appears on Shop Latte;
- your name and contact information;
- a statement explaining your good-faith belief that the use is unauthorized;
- a statement that the information in your notice is accurate and that you are authorized to act for the rights holder; and
- your physical or electronic signature.
We may remove or restrict access to content while reviewing a complaint. We may also notify the user who submitted the content and allow an appropriate response.
Shop Latte may adopt additional procedures for copyright notices and counter-notices as required by applicable law.
20. Prohibited Conduct
You may not use Shop Latte to:
- violate any law or regulation;
- infringe intellectual-property, privacy, publicity, contractual, or other rights;
- impersonate another person or misrepresent your affiliation with a business;
- publish false, deceptive, fraudulent, or materially misleading information;
- harass, threaten, exploit, abuse, or discriminate against another person;
- promote hatred, violence, illegal activity, or dangerous conduct;
- distribute malware, viruses, corrupted files, or harmful code;
- gain unauthorized access to an account, system, network, or data;
- collect personal information without authorization;
- send spam, automated inquiries, scams, or irrelevant solicitations;

- use Shop Latte to advertise prohibited, illegal, counterfeit, stolen, or unsafe products or services; or
- assist another person in doing any of the above.
We may investigate suspected violations and cooperate with law enforcement or other authorities when appropriate.
21. Content Moderation and Platform Enforcement
Shop Latte may, but is not required to, review, monitor, edit, restrict, remove, archive, decline to publish, or reduce the visibility of content.
We may take action when we reasonably believe that content or conduct:
- violates these Terms;
- violates applicable law;
- creates risk or potential harm;
- infringes another person’s rights;
- misleads customers;
- threatens the integrity or operation of the platform; or
- is otherwise inappropriate for Shop Latte.
Enforcement actions may include warnings, content removal, visibility restrictions, feature limitations, subscription cancellation, account suspension, or account termination.
We are not required to provide advance notice before taking action, particularly when immediate action is reasonably necessary for security, safety, legal compliance, fraud prevention, or platform integrity.
Shop Latte’s decision not to act in one instance does not prevent us from acting in another.
22. Third-Party Services and Links
Shop Latte may contain links to business websites, social-media accounts, maps, payment services, booking services, or other third-party platforms.
Third-party services are governed by their own terms and privacy practices. Shop Latte does not control and is not responsible for third-party content, availability, security, accuracy, products, services, policies, or conduct.
Following a link or using a third-party service is at your own discretion and risk.
23. Privacy
Our collection, use, and disclosure of personal information are described in the Shop Latte Privacy Policy.
By using Shop Latte, you acknowledge that your information will be handled as described in the Privacy Policy.
Businesses that receive customer information through an inquiry must use it only for legitimate communication related to that inquiry, unless the customer separately consents to another use. Businesses are responsible for complying with privacy, marketing, recordkeeping, and data-security laws applicable to their own handling of customer information.
24. Platform Availability and Changes
We may change, add, suspend, restrict, or discontinue any part of Shop Latte. We may also adjust technical requirements, feature limits, display formats, categorization, ranking, search behavior, and content distribution.
We are not responsible for losses caused solely by a platform change, outage, interruption, suspension, or discontinuation, to the fullest extent permitted by law.
25. No Guarantee of Visibility or Results
Shop Latte helps businesses become discoverable and stay active, but visibility and outcomes may vary.
We do not guarantee:
- placement in a particular position;
- continuous display of a profile or post;
- search-engine indexing or ranking;
- social-media reach;
- local or national impressions;
- inquiries;
- customer conversions;
- revenue;
- business growth; or
- any other specific result.
Search results, feeds, discovery pages, category pages, and other surfaces may be organized, filtered, randomized, personalized, limited, or updated according to Shop Latte’s product design and platform rules.
26. Disclaimers
To the fullest extent permitted by law, Shop Latte is provided on an “as is” and “as available” basis.
Shop Latte LLC disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, availability, and security.
We do not warrant that:
- the platform will always be available, secure, or error-free;
- content will be complete, accurate, current, or reliable;
- a business or customer is who they claim to be;
- a business has particular qualifications, licenses, insurance, products, services, or availability;
- an inquiry or transaction will be successful;
- content will not be lost or removed; or
- defects will be corrected.
You use Shop Latte and interact with other users at your own discretion and risk.
Some jurisdictions do not allow certain warranty exclusions, so some of these exclusions may not apply to you.
Except where Shop Latte expressly indicates that an individual has completed Identity Verification, Shop Latte does not independently confirm that a business or customer is who they claim to be. Identity Verification confirms only the information specifically described by the verification feature and does not constitute an endorsement or guarantee of the business.
27. Limitation of Liability
To the fullest extent permitted by law, Shop Latte LLC and its owners, officers, employees, contractors, affiliates, service providers, and agents will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages. This includes lost profits, lost revenue, lost data, loss of goodwill, business interruption, or the cost of replacement services arising from or related to Shop Latte.
Shop Latte is not responsible for losses caused by the acts, omissions, content, products, services, communications, events, scams, or transactions of any customer, business, or third party.
If Shop Latte is nevertheless found legally liable for a claim arising from or related to the platform or these Terms, Shop Latte’s total liability will not exceed the greater of:
- the amount the claimant paid directly to Shop Latte during the 12 months before the event giving rise to the claim; or
- one hundred U.S. dollars ($100).
These limitations apply regardless of the legal theory asserted and even if Shop Latte was advised that damages were possible.
Nothing in these Terms limits liability where doing so is prohibited by law. Some jurisdictions do not allow certain exclusions or limitations of liability, so some of the limitations above may not apply to you.
28. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Shop Latte LLC and its owners, officers, employees, contractors, affiliates, service providers, and agents from claims, liabilities, damages, losses, judgments, costs, and expenses, including reasonable attorneys’ fees, arising from or related to:
- your use or misuse of Shop Latte;
- your User Content;
- your business, offerings, communications, events, or transactions;
- your violation of these Terms;
- your violation of applicable law; or
- your infringement or violation of another person’s rights.
Shop Latte may control the defense of a matter subject to indemnification, and you agree to reasonably cooperate with that defense.
29. Suspension and Termination
You may stop using Shop Latte at any time. You may delete your account using the available account settings or by contacting hello@shoplatte.com .
We may suspend, limit, or terminate your account or access if:
- you violate these Terms;
- payment remains overdue, with payment-related access consequences described in the Subscription & Billing Policy;
- your account creates legal, security, fraud, safety, or operational risk;
- your business is no longer active or eligible;
- we are required to do so by law; or
- continuing to provide access is no longer reasonably practicable.
Termination may result in the removal or unpublishing of profiles, posts, Menu items, events, inquiry forms, and other content.
Sections that by their nature should survive termination will remain effective, including provisions concerning ownership, licenses, transactions, disclaimers, liability, indemnification, disputes, and enforcement.
30. Governing Law and Disputes
These Terms and any dispute arising from or relating to Shop Latte will be governed by the laws of the State of California, without regard to its conflict-of-law principles.
Before filing a formal legal claim, you and Shop Latte agree to make a reasonable, good-faith effort to resolve the dispute informally. To begin this process, you must send a written description of the dispute and the resolution you are requesting to hello@shoplatte.com . Shop Latte may contact you to try to resolve the matter.
If the dispute is not resolved informally, either party may pursue any remedy available under applicable law.
Unless applicable law permits or requires a different location, any court proceeding arising from or relating to these Terms or Shop Latte must be brought in the state or federal courts located in Los Angeles County, California. You and Shop Latte consent to the personal jurisdiction of those courts.
Either party may bring an eligible claim in small claims court. Nothing in this section prevents either party from seeking emergency or injunctive relief when necessary to protect its rights, property, users, or platform.
31. Changes to These Terms
We may update these Terms as Shop Latte changes.
When changes are material, we may provide notice through the platform, by email, or by another reasonable method. The updated Terms will state their effective date.
Your continued use of Shop Latte after revised Terms become effective means you accept the revised Terms. If you do not agree to the changes, you must stop using Shop Latte.
32. Electronic Communications
By creating an account, you agree that Shop Latte may send you electronic communications related to your account, security, subscriptions, inquiries, platform activity, policy changes, and other service matters.
Marketing communications will be handled according to applicable law and the preferences available to you.
Electronic notices satisfy any legal requirement that a communication be provided in writing, to the extent permitted by law.
33. General Terms
These Terms, together with the Privacy Policy and any additional policies expressly incorporated into them, constitute the entire agreement between you and Shop Latte concerning the platform.
If any provision is found unenforceable, the remaining provisions will remain in effect, and the unenforceable provision will be modified or limited to the minimum extent necessary.
Our failure to enforce a provision is not a waiver of our right to enforce it later.
You may not assign or transfer your rights under these Terms without our written permission. Shop Latte may assign these Terms as part of a merger, acquisition, financing, reorganization, sale of assets, or transfer of the platform.
Nothing in these Terms creates an employment, agency, partnership, joint-venture, franchise, or fiduciary relationship between you and Shop Latte.
Section headings are included for convenience and do not affect interpretation.
